Terms of Service

These Terms of Service ("Terms") govern your use of Inner Circle, operated by Inner Circle ("we", "us", "our") at joininnercircle.vip. By creating an account or using our platform, you agree to these Terms. If you do not agree, do not use Inner Circle.

1. Who can use Inner Circle

You must be at least 18 years old to use Inner Circle. By registering, you confirm that you meet this requirement. We reserve the right to terminate accounts where we have reason to believe the user is under 18.

Inner Circle is currently available to users in Kenya, Uganda, Tanzania, and Nigeria. We may expand to additional markets over time.

2. Account registration

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate and complete information when registering. Impersonating another person or entity is strictly prohibited.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in behaviour harmful to other users or the platform.

3. Creator accounts

Creator accounts require an application that is reviewed by our team. Acceptance is at our sole discretion. Approved creators agree to:

• Maintain an accurate and professional profile.
• Honour confirmed session bookings and respond to Priority DMs and paid questions within the applicable SLA windows.
• Comply with our Creator Guidelines, which form part of these Terms.
• Not engage in discriminatory, abusive, or fraudulent behaviour toward fans.

4. Platform features

4.1 Sessions

Creators set their own rates for 15, 30, and 60-minute sessions. Fans book and pay upfront. Sessions are confirmed immediately upon payment. Creators receive their payout after the session is completed.

4.2 Subscriptions

Fans may subscribe to creators who have enabled the subscription feature. Subscriptions provide access to exclusive content and are billed monthly. Subscriptions renew automatically until cancelled. Inner Circle deducts a platform fee before remitting the creator's share.

4.3 Priority DMs

Fans may pay to send a Priority DM to a creator's inbox. The creator has 6 hours to reply. If the creator does not reply within the SLA window, the fan's payment is automatically refunded. Upon reply, the creator receives their payout.

4.4 Paid questions

Fans may pay to ask a creator a specific question. The creator has 48 hours to respond. If the creator does not respond within the SLA window, the fan's payment is automatically refunded. Upon answering, the creator receives their payout.

4.5 Group rooms

Creators may host live group sessions with multiple fans simultaneously. Fans purchase tickets to attend. Payouts to creators are processed after the session ends.

4.6 Exclusive content

Creators may post exclusive content accessible only to active subscribers. Content is protected by signed, expiring URLs. Sharing or redistributing subscriber-only content is a violation of these Terms.

5. Payments and payouts

All payments are processed by Lemonade Payments via mobile money (M-Pesa, MTN MoMo, Airtel Money, and others). Inner Circle does not store payment credentials.

Platform fees are deducted from creator earnings before payout. The applicable fee percentage is displayed on the creator's plan page and may vary by plan and market. Payouts are sent directly to the creator's registered mobile money number.

Inner Circle is not responsible for delays or failures caused by the payment processor, mobile network operators, or incorrect payment details provided by users.

6. Refunds

Refunds are issued automatically in the following circumstances:

• A Priority DM is not replied to within 6 hours.
• A paid question is not answered within 48 hours.
• A session is cancelled by the creator.

Refunds are processed via mobile money to the fan's original payment number. Processing times depend on the mobile money provider. Minimum refund amounts apply based on payment processor requirements. Amounts below the minimum threshold may not be refundable via automated systems and will be handled on a case-by-case basis.

Subscription payments are generally non-refundable once access has been granted.

7. Content standards

You are solely responsible for all content you post, upload, or transmit on Inner Circle. You must not post content that:

• Is illegal, defamatory, fraudulent, or deceptive.
• Is sexually explicit or adult in nature.
• Promotes violence, hatred, or discrimination against any individual or group.
• Infringes the intellectual property rights of others.
• Contains malware, spam, or unsolicited commercial communications.
• Violates the privacy of others, including sharing personal information without consent.
• Constitutes harassment, bullying, or abuse of other users.

We reserve the right to remove any content that violates these standards and to suspend or terminate accounts responsible for such content.

8. Intellectual property

You retain ownership of all content you create and upload to Inner Circle. By posting content, you grant Inner Circle a non-exclusive, royalty-free, worldwide licence to display, distribute, and promote your content on the platform and in marketing materials, for as long as the content remains on the platform.

Inner Circle's brand, logo, software, and design are our intellectual property. You may not reproduce, modify, or distribute them without our written permission.

9. Creator plan fees

Certain features — including subscriptions, Priority DMs, paid questions, and group rooms — are available to creators on paid plans. Plan fees are charged monthly via mobile money. Failure to pay plan fees may result in suspension of premium features. Plan fees are non-refundable.

10. Prohibited conduct

You must not:

• Use Inner Circle for any unlawful purpose.
• Attempt to reverse engineer, scrape, or extract data from the platform.
• Create multiple accounts to circumvent suspensions or restrictions.
• Manipulate reviews, ratings, or engagement metrics.
• Coordinate with others to abuse the refund system.
• Solicit fans off-platform to avoid platform fees.
• Engage in any activity that disrupts or degrades the performance of the platform.

11. Suspension and termination

We may suspend or terminate your account at any time, with or without notice, for violations of these Terms, fraudulent activity, or conduct harmful to other users or the platform. Creators whose accounts are terminated forfeit any pending payouts related to disputed transactions.

You may close your account at any time by contacting support@joininnercircle.vip. Pending transactions will be processed before account closure.

12. Limitation of liability

To the maximum extent permitted by applicable law, Inner Circle is not liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including lost revenue, lost data, or business interruption.

Our total liability to you for any claim arising from your use of Inner Circle shall not exceed the total fees you paid to Inner Circle in the three months preceding the claim.

13. Disclaimer of warranties

Inner Circle is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.

14. Dispute resolution

We encourage you to contact us first at support@joininnercircle.vip to resolve any dispute informally. If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in Nairobi, Kenya, under the rules of the Nairobi Centre for International Arbitration (NCIA).

15. Governing law

These Terms are governed by the laws of Kenya. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction of the courts of Nairobi, Kenya.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or by a notice on the platform at least 14 days before they take effect. Continued use of Inner Circle after changes take effect constitutes acceptance of the updated Terms.
